WorldBlu, LLC (“WorldBlu,” “We,” “Us,” “Our”) provides business coaching, consulting, leadership development, and culture programs (collectively, the “Services”) through this Website and related materials. This Service is offered subject to Your acceptance of these Terms as well as any relevant sections of the WorldBlu, LLC Privacy Policy.
Please read these notice, terms, and conditions (“Terms”) carefully before using Our Services.
BY VISITING THIS WEBSITE OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU:
- HAVE READ THESE TERMS,
- UNDERSTAND THESE TERMS, AND
- ACCEPT AND AGREE TO BE BOUND BY THEM.
You must be at least 18 years old to access this Website or purchase products or Services from Us.
If you are using the Services on behalf of an organization, You agree to these Terms on behalf of that organization and confirm you have the authority to bind said organization.
If you do not agree with these Terms or are under 18, please do not use the Services or Website. If at any time you are not willing to be bound by these Terms, you should:
- Terminate any download or installation process,
- Immediately cease accessing or using the program, and
- Delete any copies you may have.
Your use of the Services is also subject to our Privacy Policy. Please review it to understand how we collect, use, and share your personal information.
1. Eligibility
You must be at least 18 years old to access or use the Services, or you must have the legal authority to enter into binding contracts on behalf of an organization. By using the Services, you represent and warrant that you meet these eligibility requirements.
2. Accounts and Registration
Some Services require registration and a WorldBlu account (“Account”). You agree to:
- Provide accurate, complete, and current information when creating your Account.
- Safeguard your login credentials and not share them or allow others to access your Account.
- Be responsible for all activity conducted through your Account, including by anyone you authorize.
- Notify us immediately if you suspect unauthorized use of your Account.
We may suspend or terminate your Account if you provide false information or use your Account in a way that violates these Terms. Unauthorized use of another person’s credentials constitutes a breach and may result in suspension or termination.
3. License and Use of Content
All WorldBlu content, materials, courses, tools, training, videos, workbooks, frameworks, and related intellectual property (“Content”) are owned by WorldBlu or its licensors and are protected by U.S. and international intellectual property laws.
WorldBlu grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely:
- For your personal or internal business use;
- In connection with your participation in the Services you have purchased or been granted access to.
You may not:
- Modify, reproduce, distribute, sell, publish, publicly display, create derivative works from, or otherwise exploit the Content except as expressly authorized in writing by WorldBlu.
- Use the Content for commercial purposes outside of your purchase or license.
- Use AI tools to generate responses, assignments, or deliverables required in our programs; all work must be completed personally.
By participating in or endorsing our programs, you grant WorldBlu a non-exclusive, worldwide, royalty-free right to use your name, image, likeness, testimonial, or any statements you provide regarding the Services in marketing, promotional, or other materials.
4. Program Types & Completion Requirements
WorldBlu offers:
- Online self-paced courses,
- Live coaching and training,
- Consulting services, and
- Leadership and culture development programs.
Completion of programs may be required to receive certifications or other benefits. You agree that you will complete any program work without the use of AI-generated content unless explicitly permitted.
To obtain certification, participants must complete the program in full. Partial completion or use of AI to generate work does not fulfill certification requirements. Access to Certification is granted only after full completion and approval by WorldBlu.
5. Code of Conduct
WorldBlu is committed to creating a professional, respectful, and psychologically safe learning environment. By participating in any WorldBlu Service, program, event, or community (including live sessions, online platforms, discussion forums, coaching calls, and in-person experiences), you agree to comply with this Code of Conduct.
Participants agree to:
• Conduct themselves with professionalism, integrity, and respect toward WorldBlu staff, instructors, licensed partners, facilitators, speakers, and fellow participants;
• Engage constructively in discussions and activities, even where differing viewpoints exist;
• Comply with all program guidelines, participation requirements, and instructions provided by WorldBlu or its representatives;
• Respect confidentiality of other participants and not share private, proprietary, or sensitive information disclosed during programs without permission;
• Use WorldBlu platforms, tools, and communications solely for their intended educational and business purposes.
Participants agree that the following conduct is strictly prohibited:
• Harassment, discrimination, intimidation, bullying, or abusive behavior of any kind, including conduct based on race, gender, sexual orientation, religion, disability, age, or any other protected characteristic;
• Disruptive behavior that interferes with the learning experience of others or the delivery of Services;
• Threatening, defamatory, obscene, or inappropriate communications;
• Unauthorized recording, reproduction, or distribution of program sessions, materials, or participant contributions;
• Misrepresentation of identity, credentials, or authority;
• Use of WorldBlu programs, communities, or materials to solicit, market, or promote products or services without express written permission;
• Violation of any applicable law, regulation, or third-party rights.
WorldBlu reserves the right, at its sole discretion, to investigate any alleged violation of this Code of Conduct and to take appropriate action, including but not limited to:
• Issuing warnings;
• Removing a participant from a session, program, or platform;
• Suspending or terminating access to Services, Content, certifications, or communities;
• Revoking certifications or credentials previously granted;
• Terminating licenses or participation agreements (including for Licensed Partners).
Any termination or removal based on a violation of this Code of Conduct may occur immediately, without prior notice, and without refund beyond the express 14-day refund policy, unless otherwise required by law. WorldBlu shall not be liable for any loss, damages, or claims arising from enforcement of this Code of Conduct.
6. Restrictions on Use
You agree that you will not:
- Use the Services for unlawful purposes or in ways that could harm WorldBlu, its users, or third parties.
- Interfere with or disrupt the Services or servers.
- Share, redistribute, or resell access to the Services without express permission.
- Use the Services to impersonate another person or entity.
- Use automated systems (bots, scripts, scrapers) to access or interact with the Services.
Unauthorized conduct may lead to suspension or termination of your access.
7. Third-Party Websites, Links, Platforms, and Content
The Services may include links to or references to third-party websites, platforms, services, tools, content, resources, books, articles, videos, software, or media (including but not limited to YouTube, external publications, or partner platforms) that are not owned or controlled by WorldBlu. Such links or references are provided solely for convenience, educational purposes, or informational context.
WorldBlu does not control, endorse, guarantee, or assume responsibility for the accuracy, completeness, availability, legality, viewpoints, opinions, security, or reliability of any third-party content, website, platform, or service. Third-party content may be modified, removed, unavailable, outdated, or inaccurate at any time, and WorldBlu has no obligation to monitor or update such content.
By accessing third-party links or content, You acknowledge that You are leaving WorldBlu’s Services and that Your use of any third-party website or service is governed solely by that third party’s terms, policies, and practices. WorldBlu shall not be responsible or liable, directly or indirectly, for any damage, loss, disruption, or harm arising from or related to Your access to, reliance on, or use of any third-party content, services, or viewpoints.
8. Purchases, Subscriptions, Pricing, and Payments
8.1. Purchase Terms
By placing an order for Services or products, you represent that you have the legal right to use your chosen payment method. Payments are processed securely via Stripe and QuickBooks, which manage credit/debit cards and other authorized payment methods.
8.2. Refund Policy
WorldBlu offers a 14-day refund period on most paid Services (courses, programs, digital content), measured from the date of purchase, unless otherwise explicitly stated at checkout. Refunds after this period are not available unless required by law.
To request a refund, contact us at hello@worldblu.com with proof of purchase. Approved refunds will result in termination of your access to the associated Services and Content.
(Note: Measuring the refund period from purchase date avoids ambiguity for live cohorts or staggered course access.)
8.3. Subscriptions and Automatic Renewals
Certain programs are offered as annual subscriptions. By purchasing a subscription, you authorize automatic renewal charges for each billing cycle. You may cancel your subscription at any time to avoid renewal charges, but you retain access until the end of the current paid term.
8.4. Installments
Direct installment payments may be offered for certain programs. All installment terms will be disclosed at the time of purchase. Third-party installment plans are not offered.
8.5 Pricing & Fees Policy
WorldBlu reserves the right to modify the pricing of its Services, programs, subscriptions, licenses, and products at any time, in its sole discretion. Price changes will not affect Services already purchased, except for subscription-based Services, where price changes may apply at the next renewal period upon notice to You.
All prices are exclusive of applicable taxes, fees, or charges imposed by governmental authorities or third-party payment processors, which may be added at checkout or invoicing where required.
Promotional pricing, discounts, bonuses, or special offers are offered at WorldBlu’s discretion, may be time-limited, and may be modified or withdrawn at any time unless otherwise expressly stated in writing.
9. No Warranty; Results Disclaimer
WorldBlu provides Services for educational and business coaching purposes only. We do not guarantee specific outcomes, business results, financial returns, revenue, or success. Individual results will vary.
Services and Content are provided “as is” and “as available,” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement.
10. No Financial, Legal, or Professional Advice
The Services are provided for educational and informational purposes only and do not constitute financial, legal, accounting, investment, or professional advice. WorldBlu does not act as a financial advisor, investment advisor, or fiduciary. You are solely responsible for Your business, financial, and operational decisions and are encouraged to consult qualified professionals regarding Your specific circumstances.
11. Downloads, Security, and System Responsibility
WorldBlu does not warrant or guarantee that any files, materials, or content available for download through the Services will be free from viruses, malware, worms, Trojan horses, or other harmful components. You are solely responsible for implementing appropriate safeguards, antivirus protection, and backup procedures to protect Your systems, data, and devices.
WorldBlu assumes no responsibility or liability for damage to computer systems, loss of data, service interruptions, or other harm resulting from downloading or accessing content through the Services or third-party platforms.
12. Limitations of Liability
To the maximum extent permitted by applicable law, WorldBlu, LLC, including its subsidiaries, affiliates, licensors, service providers, content providers, officers, directors, employees, and agents, shall not be liable for any incidental, direct, indirect, punitive, actual, consequential, special, exemplary, or other damages whatsoever, including but not limited to loss of revenue, loss of income, loss of profits, loss of business, loss of data, loss of goodwill, emotional distress, pain and suffering, or similar damages, arising out of or related to your use of or inability to use the Services or Content, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if WorldBlu has been advised of the possibility of such damages.
In no event shall the collective liability of WorldBlu and the parties listed above exceed the greater of one hundred U.S. dollars (US $100) or the total amount you have paid to WorldBlu for the specific Content, product, or Service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.
Your exclusive remedy for any and all claims arising out of or related to the Services, Content, or these Terms shall be limited to the greater of one hundred U.S. dollars (US $100) or the amount you have paid to WorldBlu for the applicable Content, product, or Service.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, WorldBlu’s liability shall be limited to the maximum extent permitted by law.
Any claim, cause of action, or dispute arising out of or relating to these Terms, the Services, or the Content must be brought within one (1) year after the claim or cause of action arises, or such claim is permanently barred.
This limitation applies to all legal theories, including contract, tort, negligence, strict liability, statutory, or otherwise, to the maximum extent permitted by applicable law. Where applicable law does not permit a contractual limitation period of one year, the claim shall be brought within the shortest time period permitted by law.
12.1 Licensed Partner Liability and Indemnification
Licensed Partners shall be solely responsible for their own operations, delivery of programs, interactions with clients or participants, and any business decisions, actions, or omissions arising from their licensed activities. WorldBlu shall have no liability for the acts, errors, omissions, or failures of Licensed Partners, their employees, contractors, or representatives, whether occurring domestically or internationally.
Licensed Partners agree to indemnify, defend, and hold harmless WorldBlu, its affiliates, officers, directors, employees, agents, and licensors from any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees), regardless of the country or jurisdiction, arising directly or indirectly from:
- The Licensed Partner’s breach of these Terms, the license agreement, or applicable laws;
- Any negligence, misconduct, or improper use of WorldBlu’s materials or programs;
- Claims by participants, clients, third parties, or any governmental authority related to the Licensed Partner’s provision of services;
- Any use of WorldBlu’s intellectual property beyond the scope of the license;
- Any actions or claims brought by the Licensed Partner themselves against WorldBlu.
WorldBlu makes no representation or warranty regarding the results, outcomes, or effectiveness of any program delivered by a Licensed Partner, and Licensed Partners shall not rely on WorldBlu for operational, financial, or legal advice.
To the fullest extent permitted by law, WorldBlu’s total liability for any claim arising from a licensee relationship, including claims brought internationally, shall not exceed the amount of fees actually paid by the Licensed Partner to WorldBlu under the applicable license agreement.
WorldBlu may suspend or terminate a license immediately if the Licensed Partner engages in conduct that materially violates these Terms or the license agreement, including acts that could harm WorldBlu’s reputation, intellectual property, or international operations, without liability to the Licensed Partner.
13. Indemnification
You agree to indemnify and hold WorldBlu, its affiliates, and their respective officers, directors, employees, and agents harmless from and against any claims, liabilities, losses, damages, and expenses (including attorneys’ fees) arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of third-party rights;
- Your breach of any representations or warranties.
14. Force Majeure
WorldBlu shall not be liable for delays or failure in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, labor disputes, internet outages, or instructor unavailability. We may reschedule live events, courses, or sessions as necessary.
WorldBlu is not responsible for any errors, delays, or failures of third-party platforms or services used to deliver programs or process payments.
41.1. Technology Systems, BluSpark Platform, and Data Security
WorldBlu delivers certain Services through proprietary technology systems, including its BluSpark™ platform, as well as through third-party software providers, hosting services, and payment processors (collectively, “Delivery Platforms”). While WorldBlu takes commercially reasonable measures to maintain secure, reliable, and functional systems, no technology infrastructure is entirely immune from interruption, cyberattack, unauthorized access, or data breaches.
WorldBlu shall not be responsible or liable for:
• Temporary or permanent outages, interruptions, delays, or failures of BluSpark or any Delivery Platform;
• Unauthorized access to, alteration of, disclosure of, or theft of personal or business information resulting from cyberattacks, security incidents, or failures of third-party systems;
• Loss, corruption, delay, or unavailability of Content, communications, or Services caused by technical issues beyond WorldBlu’s reasonable control.
In the event of a system outage, security incident, or data breach affecting access to the Services, WorldBlu will make commercially reasonable efforts to restore access or provide alternative delivery where feasible. Such events shall not constitute a breach of these Terms and do not entitle users to refunds, credits, or damages beyond the express refund policy stated herein, unless otherwise required by applicable law.
15. Termination
WorldBlu may suspend or terminate your access at any time without notice for any reason, including if you violate these Terms or the Code of Conduct. Upon termination, your rights under these Terms will immediately cease. You may also terminate access by cancelling subscriptions in writing and ceasing use of the Services.
16. Intellectual Property and Copyright Policy
WorldBlu respects intellectual property rights.
All Services, Website content, and materials are protected by U.S. and international intellectual property laws. You may not modify, publish, distribute, or create derivative works from any Content, except as expressly permitted. All trademarks and service marks remain exclusive property of WorldBlu.
If you believe that Content on our Services infringes your copyright, you may send a notice to our designated agent. WorldBlu complies with applicable copyright laws and may remove or disable access to allegedly infringing material.
17. Submissions, Feedback, Testimonials, and Endorsements
By submitting, posting, uploading, communicating, or otherwise providing any content, feedback, suggestions, ideas, testimonials, endorsements, reviews, comments, materials, or other information to WorldBlu through the Services or otherwise (“Submissions”), You grant WorldBlu a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works from such Submissions in any media now known or later developed, for any lawful purpose, including marketing, promotional, educational, and commercial purposes.
WorldBlu shall have no obligation to treat any Submission as confidential and shall not be liable for any use or disclosure of such Submissions. You represent and warrant that You have all necessary rights to submit the content and that such Submissions do not violate any law or the rights of any third party.
To the extent You provide testimonials, endorsements, or statements regarding WorldBlu or its Services, You grant WorldBlu permission to use Your name, likeness, image, voice, title, organization (if applicable), and statements in connection with marketing, advertising, promotional, and educational materials, unless otherwise expressly agreed in writing.
18. Licensed Partners
WorldBlu may license certain organizations or individuals (“Licensed Partners”) to use our products, programs, or materials. Licensed Partners must:
- Adhere to licensing agreements, program requirements, and brand guidelines,
- Ensure their clients/participants comply with all applicable rules,
- Acknowledge that all intellectual property remains WorldBlu’s property, and
- Understand that licenses may be terminated at Our discretion for violations of these Terms, the license agreement, or the Code of Conduct.
19. Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. For disputes that cannot be resolved amicably, parties agree to submit to the exclusive jurisdiction of state or federal courts located in Palm Beach County, Florida.
All disputes shall be resolved exclusively through binding arbitration in Palm Beach County, Florida, in accordance with the rules of the American Arbitration Association, unless otherwise agreed in writing.
If any provision is found invalid or unenforceable, it shall be severed without affecting enforceability of remaining provisions.
20. Modifications to Terms
WorldBlu may modify these Terms at any time. Updated Terms will be posted on the Website with a new effective date. Continued use of the Services constitutes acceptance of the revised Terms.
